Notice convening an extraordinary general meeting will be held at the Institute of the Motor Industry, Fanshaws on Tuesday 7th February 2017 at 1pm.
A second Extraordinary General Meeting has been called immediately after the main one. The changes proposed are:

This Extraordinary General Meeting is convened to consider and, if thought fit, pass the following resolution:
That the Articles of Association of the Company be and are hereby amended in the following general manner:
Board Composition and Proceedings – Restrictions around Board composition in the future are removed. The quorum is set at a minimum of six Non-Executive Directors, so that there will always be at least double the number the Executive Directors. An article will be added to the effect that if there is not a quorum present then those present may make recommendations which the other Directors may decide on by email. Reference to the Chair of IMI Awards Limited, the Vice Chair and the Executive Chair are removed as no longer applicable.
Governance - the Article relating to the Sector Skills Committee and the Awarding Organisation Committee will be removed as no longer appropriate.
Classes of Members – the Licentiate class of member will be removed. A new class of member “Young Professional” will be added.
Code of Conduct – whenever there is reference to the Code of Conduct, “or Professional Standard” will be added.
Other Articles are re-numbered, and some terminology is changed.
